This clause's provisions should be treated as an express reservation of our rights in this regard, including Article 4(3) of the Digital Copyright Directive ((EU) 2019/790).

By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. - Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any breach of the terms implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982
- Defective products under the Consumer Protection Act 1987
- Any other liability that cannot be excluded or limited by law.

21. Data Processing
Where we process personal data on your behalf as a data processor under UK GDPR, our relationship will be governed by our Data Processing Agreement, which forms part of these Terms. Business users requiring us to process personal data on their behalf should request our standard Data Processing Agreement by contacting us atImpact@levelupesg.co.
22. Which country's laws apply to any disputes?
If you are a consumer, please note that these terms of service, their subject matter, and their formation are governed by English law. We both agree that the courts of England and Wales will have exclusive authority, except that if you are a resident of Northern Ireland, you may also bring proceedings in Northern Ireland, and if you are a resident of Scotland, you may also bring proceedings in Scotland.
If you are a business, these terms of service, their subject matter, and their formation (including any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive authority of the courts of England and Wales.
Before commencing formal legal proceedings, we encourage users to contact us first atImpact@levelupesg.co to attempt to resolve any disputes informally. We aim to address all concerns within 14 days of receipt.
23. Term and Termination
These Terms remain in effect while you use our site. Either party may terminate these Terms at any time for any reason by ceasing to use our site (in your case) or by terminating or suspending your access to the site (in our case).
We may suspend or terminate your access to our site immediately without notice if:

- We reasonably believe you have engaged in conduct that violates applicable laws or could cause us liability
- We are required to do so by law or by our regulators
